Executive Consulting Network – Terms and Conditions

Welcome to the Executive Consulting Network. These Executive Consulting Network – Terms and Conditions (this Agreement) apply to Eagle’s sites and electronic content (including other services any features or content Eagle may add in the future) that it maintains for its executive consultants on the Executive Consulting Network. Please review this Agreement, as it applies to the use of the Executive Consulting Network service (this service) by you (the User) as it provides you with some additional details about this service. This Agreement supplements other Eagle terms and conditions on its site (such as the Terms of Use and the Privacy Statement) and in cases of conflict between this Agreement and any other terms and conditions on its site, this Agreement will take precedence for this service.

By agreeing to the Terms and Conditions below and becoming a member of the Executive Consulting Network, as well as full payment of the associated invoice, the User hereby accepts the following Terms and Conditions for this service:

• The Executive Consulting Network may contain links to other Web Sites (“Linked Sites”). The Linked sites are not under the Control of Eagle and Eagle is not responsible for the contents of any Linked site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Eagle is not responsible for webcasting or any other form of transmission received from any Linked Site. Eagle is providing these links to you only as a convenience and membership benefit, and the inclusion of any link does not imply endorsement by Eagle of the site or any association with its operators.
• Eagle does not claim ownership of any material you provide or post, upload, input or submit to any Eagle site. By posting, uploading, inputting or submitting information, you are granting Eagle and its affiliated companies permission to use your information in connection with the operation of its business including, without limitation, the rights to copy, distribute, transmit, publicly display and reproduce your information. No compensation will be paid to you with respect to the use of your information. Eagle is under no obligation to post or use any information you may provide and may remove any information at any time in its sole discretion. By posting information on the Executive Consulting Network, you represent that you own or otherwise control all of the rights to the information.
• The User will pay all funds specified on the Invoice, including applicable taxes, for this Executive Consulting Network membership when it applies. The User understands and agrees that Eagle will have no obligation to grant access to member only pages until such time as Eagle has received payment for the membership.
• Within eight business hours of the User accepting these Terms and Conditions, the User will be granted Premiere Membership access for the chosen period. At that point, the User will have ten business days to pay the associated invoice in full. If, after ten business days, complete payment for the invoice has not been received by Eagle, the User’s membership will be terminated.
• User shall use this service solely for its own purposes and shall not resell this service to any third party, allow access to this service or any documentation provided by Eagle to any third party, or transfer the benefits of this service to any third party.
• Eagle reserves the right to review and decline any membership application. User will be notified of any such rejection and, if it has already paid for a membership refunded payment for any such scenario.
• Return/Refund policy – The Executive Consulting Network is very confident that you will find value in joining the network. If after 7 days, you do not feel that your money was well spent, we will refund 100% of your money, quickly and with no strings attached. Just send your request for a full refund to Concierge@eagleonline.com
• Eagle is not responsible for the completeness, currency, accuracy or applicability of any information contained on the Executive Consulting Network as all information is provided “as is”. The User is solely responsible for determining whether any information provided by Eagle is applicable to its needs and any use or reliance on the information is at the User’s sole risk. Eagle makes no warranties, representations or conditions express or implied, in fact or in law, with respect to this service or the provision of any information, including, but not limited to, the implied warranties or conditions of merchantable quality, non-infringement or fitness for a particular purpose. The User will defend, indemnify and hold harmless Eagle and its officers, employees and agents from and against any claim or suit, and any liabilities, losses, damages, costs and expenses (including, without limitation, reasonable legal fees) arising from or in connection with User’s use of any information.
• The Executive Consulting Network service is provided without liability to the User, whether in contract, tort (including negligence), strict liability in tort or by statute or otherwise. Except for claims under the indemnity above, neither party will be liable to the other party for consequential, indirect or punitive losses, damages or expenses, or for lost profits, lost savings, loss of data or any other commercial or economic loss of any kind, even if they have been advised of their possible existence, or even if same were reasonably foreseeable. This limitation shall survive a failure of the essential purpose of this service or failure of any remedy contained herein.
• The User is responsible for the use of this service and any documentation provided. The User will ensure that it will use, submit, enter or receive any data, information or other materials provided in connection with this service in compliance with any applicable laws or regulations; including, but not limited to, any privacy laws. This Agreement will be governed by, construed and enforced in accordance with the laws in effect in the Province of Ontario, without regard to its choice of laws provisions, and the parties hereby irrevocably attorn to the exclusive jurisdiction of the courts in such jurisdiction in the City of Toronto. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. This Agreement, including other applicable Eagle terms and conditions on its site, sets forth the entire agreement between the parties and supersedes any and all other communications or advertising with respect to this service. If any provision of this Agreement is held to be invalid or unenforceable the remainder of this Agreement will continue in full force and effect. This Agreement shall be binding upon and inure to the benefit of both parties and the User will not assign or otherwise transfer this Agreement to any third party.
